Welcome to HolaDesk ("we," "our," or "us"). By accessing or using our website and services (the "Platform"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, please do not use our Platform.

1. Introduction

HolaDesk provides an online platform for individuals ("Hosts") to list and rent out desks and study rooms in their homes to other individuals ("Guests") for work or study purposes. These Terms govern your use of our Platform, whether as a Host, Guest, or visitor.

2. Eligibility

You must be at least 18 years old to use our Platform. By registering an account, you represent that all information provided is accurate and complete.

3. Account Registration

Users must create an account to list or book spaces. You are responsible for maintaining the confidentiality of your account information and password. You agree to notify us immediately of any unauthorized access or use of your account.

4. Host Responsibilities

• Hosts must ensure their listed spaces are safe, clean, and accurately described on the Platform.
• Hosts must comply with all local laws, zoning regulations, and insurance requirements.
• Hosts are solely responsible for setting their prices and availability.

5. Guest Responsibilities

• Guests agree to respect the Host's property and follow any rules specified by the Host.
• Guests are responsible for any damage they cause to the Host's property.
• Use of the space must be limited to work or study purposes unless otherwise agreed upon with the Host.

6. Booking and Payments

• All bookings and payments must be processed through the HolaDesk Platform.
• Hosts will receive payouts after Guest check-in, minus any applicable service fees.
• Guests are responsible for paying the total booking amount, including any applicable taxes and fees.

7. Cancellations and Refunds

Cancellation policies vary by Host and are outlined in each listing. Guests are encouraged to review these policies before booking. Refunds will be processed in accordance with the Host’s cancellation policy.

8. Prohibited Activities

• Users may not use the Platform for illegal activities or purposes.
• Users may not discriminate against or harass other users.
• Misrepresenting oneself or listed spaces is prohibited.
• Users must not attempt to circumvent the Platform’s payment system.

9. Content Ownership and Use

By posting content on the Platform, you grant HolaDesk a non-exclusive, royalty-free license to use, reproduce, and display your content for promotional purposes. Users retain ownership of the content they post.

10. Limitation of Liability

HolaDesk acts solely as a facilitator between Hosts and Guests and is not responsible for any issues arising from bookings, including but not limited to property damage, disputes, or personal injury. Our liability to you will not exceed the total amount paid by you to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold HolaDesk harmless from any claims, damages, or losses arising out of your use of the Platform or breach of these Terms.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy.

13. Termination

• We reserve the right to suspend or terminate your account if you violate these Terms.
• You may deactivate your account at any time by contacting us.

14. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be effective as of the date they are posted. Continued use of the Platform constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas. Any disputes will be resolved through binding arbitration or in the courts of the State of Texas.
